The agreement is between the Client acknowledging the Agreement Terms of this page with their signature and BeckTek. It is effective on the date of acknowledgement and exists on a year by year basis, automatically renewing for a subsequent one year term, with a 5% rate increase, unless terminated by the Client or BeckTek with 30 days written notice provided to the other party prior to the anniversary date.
Payment Schedule: Client will be invoiced at the beginning of each month with payment due by the first of the following month. Credit Card payments will be processed on the 5th of the following month in which the invoice was delivered (Example: Invoice delivered June 1st, Credit Card processed July 5th). Service will be suspended if payment is not received within 10 days following the due date. If payment is not received within 30 days of the due date, the remaining balance for the duration of this agreement shall become immediately due.
Limited Warranty/Liability: BeckTek warrants that the services to be provided under this agreement will be performed by qualified personnel in a professional manner conforming to generally accepted industry practices and standards. The client agrees that BeckTek's only obligation or liability with respect to services covered by this limited warranty will be to correct the nonconformity or to refund the service fees paid for the affected services. No other warranties exist, expressed or implied. Cyber Security solutions are provided to minimize the risk of a breach but does not guarantee an event from occurring.
Confidentiality & Non-Compete: BeckTek and the Client agree that all information of the other party should be considered as "Confidential" and/or "Proprietary" and as such will not be disclosed to any third person without the express written consent of the other party. Neither BeckTek nor the Client will solicit, recruit, or hire personnel of the other party while under this Agreement and for a period of 12 months after termination of the Agreement.
Onsite Services: Onsite support will be initiated at the sole discretion of BeckTek as part of the escalation process for issues unable to be corrected remotely. Any onsite service work must first be approved and authorized by the client.
Exclusions:
The following items fall outside of the scope of this Agreement and are not
included in the client's monthly service fee. These items will be quoted and
invoiced separately:
- Project/Integration Work: is defined as any service designed to add or increase functionality or capacity; in other words, any work that is not designed to support existing systems or persons. Project/Integration work will be identified to the Client as such before any work is performed.
- Parts, equipment, consumables or software not covered by vendor/manufacturer warranty or support
- The cost of any Third Party Vendor/Manufacturer Support or Incident Fees
- The cost of any Third Party fees resulting from a security breach and/or remediation
- Requested service work, for those on a Security Essentials Agreement
Response Goals:
While each service request and issue can vary in difficulty, it is BeckTek's
goal to:
✓ Respond to service requests within 1 hour or less
✓ Resolve the issue within 8 business hours or less
✓ Meet these goals 95% of the time or better
Applicable Law:
This agreement will be governed by the Laws of the Province of New Brunswick.
Should any provision of this agreement be deemed unenforceable, the remaining
provisions shall remain in force.
